Network Terms & Affiliate Agreement

These terms govern access to the PrivateLeads network ("the Network", "we", "us") by affiliates and advertisers ("you"). Creating an account, or sending or receiving traffic through the Network, means you accept them.

1. Accounts and eligibility

Accounts are granted at our discretion and after review. You must be at least 18, provide accurate business and contact information, and keep it current. One account per person or company; duplicate or misrepresented accounts may be closed and any pending balance withheld. You are responsible for everything done under your credentials and API key.

2. Traffic standards (affiliates)

You may only send traffic that is:

• from the channels you were approved for and the offer explicitly allows;
• within the offer's permitted countries;
• real human interest — no bots, click farms, automated or incentivised clicks, datacenter or proxy/VPN traffic, or co-registration unless the offer allows it;
• compliant with the offer's stated restrictions and with all applicable law, including CAN-SPAM, TCPA, GDPR, ePrivacy and consumer-protection rules;
• free of trademark bidding on the advertiser's brand, misleading claims, fake urgency, fake endorsements, adult or illegal content where not permitted, and malware or forced redirects.

For email traffic you must mail only your own opt-in lists, honour unsubscribe requests promptly, scrub against the current suppression file before every send, and use only approved from-names, subject lines and creatives.

3. Tracking, validation and adjustments

Conversions are tracked server-to-server. We log invalid traffic (bot, out-of-GEO, duplicate, datacenter/VPN) and exclude it from counts and earnings. Advertisers may validate or reject conversions under the offer's stated policy. We may withhold, reverse or claw back conversions and payouts that are fraudulent, invalid, charged back, refunded, or that breach these terms — including after payment.

4. Payments

Affiliate payouts are calculated on approved conversions and paid on the schedule shown in your account, provided a valid payout method is on file and the balance clears the stated minimum. Advertiser invoices are due on the terms stated on the invoice. Amounts shown to affiliates are in USD; offers priced in another currency are converted at our prevailing rate. We may set off amounts you owe us against amounts we owe you. Payouts under active fraud review are held until the review completes.

5. Confidentiality

Offer terms, rates, advertiser and affiliate identities, suppression files, creatives and performance data are confidential. Do not share them outside your organisation or use them except to run offers on the Network.

6. Suspension and termination

Either party may end this agreement at any time. We may suspend or close an account immediately for suspected fraud, a breach of these terms, or legal risk. On termination your tracking links stop working; approved, validated, uncontested conversions earned before termination are paid on the normal schedule.

7. Disclaimers and liability

The Network is provided "as is". We do not guarantee offer availability, rates, conversion volume, uptime or earnings. To the extent permitted by law, our total liability to you for any claim is limited to the amounts payable to you for the month in which the claim arose, and we are not liable for indirect or consequential loss.

8. Changes

We may update these terms; material changes are notified by email or in the portal. Continued use after a change means you accept it.
